Filing Your South Dakota Annual Report
A clean South Dakota registered agent setup for $99 per year. You get the office address on file, scanned legal mail, and compliance reminders ahead of state deadlines.

When the South Dakota Annual Report Is Due
Anniversary month. Formed in June? June is your month, every year. The form opens on day one of the month and the report goes delinquent once the month ends. Full instructions sit on the Secretary of State's annual reports page.
No grace period follows. First day of the next month, you are delinquent.
The South Dakota Annual Report Fee: $55 Online, $70 on Paper
Ready when you are. Ordering takes about five minutes.
Order HereThe e-filing fee jumped from $50 to $55 on July 1, 2025 (House Bill 1024). Paper runs $70 because mail filings carry a $15 processing charge. One trap worth knowing: the printed paper form is a 2018 revision that still shows $65 on its face. Ignore that number; $70 is what a mailed report takes today.
Nonprofits pay $10 online or $25 by mail. LPs and LLLPs under SDCL Ch. 48-7 owe no annual report, period.
Steps for Filing the South Dakota Annual Report
- Open the state's e-filing system (sosenterprise.sd.gov) once your anniversary month starts.
- Pull up your entity record and verify the registered agent block: a commercial agent with a CRA number, or a noncommercial agent at a South Dakota street address.
- Complete the rest of the report. The form collects no EIN and no NAICS code. Answer it straight anyway; a knowingly false report is criminal under SDCL 22-39-36.
- Pay $55 and submit. Mailing instead? Print, sign, and send with $70.
Miss the Deadline: $50 Late Fee, Then Dissolution
$50 late fee. Added to every delinquent report.
Loss of good standing. Banks, lenders, and licensing boards check.
Administrative dissolution. Stay delinquent (roughly two months is the pattern) and the Secretary of State dissolves the entity under SDCL 47-34A-809. Coming back means reinstatement, back reports, and the piled-up fees.
The Tax Side
Ready when you are. Ordering takes about five minutes.
Order HereSouth Dakota charges no state income tax and no corporate income tax. Your yearly state bill for a standard LLC is basically the $55 report plus whatever you pay your registered agent.
